Terms and Conditions for MitraVeda Marketing App

1. Agreement to Terms

By accessing or using the MitraVeda Marketing App ("App", "Service", "we", "us", or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these Terms, you may not access the App.

These Terms apply to all users of the App, including marketers, affiliates, and visitors. The App is owned and operated by MitraVeda.

2. Eligibility

2.1 Age Requirements

You must be at least 18 years old to use this App and participate in the marketing program. You must be at least 18 years of age and provide valid identification to receive payouts.

2.2 Legal Capacity

You must have the legal capacity to enter into binding contracts in your jurisdiction.

2.3 Geographic Restrictions

The marketing program is available only in jurisdictions where such affiliate marketing is permitted by law.

2.4 Account Verification

We reserve the right to verify your identity and eligibility at any time. Failure to provide requested verification may result in account suspension.

3. Account Registration and Security

3.1 Account Creation

• You must register using a valid Google account
• You must provide accurate, complete, and current information
• You are responsible for maintaining the confidentiality of your account credentials
• You agree to accept responsibility for all activities under your account

3.2 Account Responsibilities

• You must notify us immediately of any unauthorized access
• You may not share your account with others
• You may not create multiple accounts
• You are responsible for all actions taken through your account

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent activity
• Providing false information
• Inactivity for extended periods
• Any other reason we deem appropriate

4. Marketing Program

4.1 Voucher/Referral Code

• Upon approval, you will receive a unique voucher/referral code
• This code is personal and non-transferable
• You may not share, sell, or transfer your code to others for their use
• Your code must comply with our branding and usage guidelines

4.2 Permitted Marketing Activities

You may promote MitraVeda services through:

• Personal social media accounts (with disclosure)
• Personal websites or blogs (with disclosure)
• Email marketing to your own contacts (with consent)
• Word-of-mouth recommendations

4.3 Prohibited Marketing Activities

You may NOT:

• Engage in spamming or unsolicited mass marketing
• Use misleading or deceptive advertising
• Bid on MitraVeda branded keywords in search advertising
• Create fake accounts or referrals
• Use automated bots or scripts to generate referrals
• Violate any platform's terms of service (Facebook, Google, etc.)
• Make false claims about MitraVeda services
• Offer unauthorized discounts or guarantees
• Use "get rich quick" or similar misleading schemes
• Engage in click fraud or other fraudulent activities
• Impersonate MitraVeda or claim official partnership without authorization

Prohibited Terms: Marketers are strictly prohibited from using terms such as "Investment" or "Guaranteed Returns" when promoting services. All earnings must be referred to as "Commissions" or "Marketing Rewards."

Disclaimer of Services: All astrological services provided by MitraVeda are for "Spiritual and Entertainment purposes only."

Prohibited Health/Wealth Claims: No claims may be made that astrological remedies can "cure" any medical condition or "guarantee" specific wealth outcomes.

Financial Declarations: This app is a platform for managing affiliate marketing payouts. It is not a banking, lending, or licensed financial advisory service.

5. Commissions and Payments

5.1 Commission Structure

• Commission rates are determined by MitraVeda and may vary
• Current commission rates are displayed in your dashboard
• We reserve the right to modify commission rates with 30 days' notice
• Commissions are earned only on valid, verified subscriptions

5.2 Commission Eligibility

Commissions are earned when:

• A referred user signs up using your voucher code
• The user completes payment for a premium subscription
• The subscription payment is successfully processed and verified
• The subscription is not refunded or disputed

5.3 Commission Disqualification

Commissions may be denied or reversed for:

• Fraudulent referrals or self-referrals
• Refunded or disputed transactions
• Chargebacks
• Violation of these Terms
• Suspicious or irregular activity

5.4 Payment Processing

• Payments are processed on a monthly basis
• Minimum payout threshold: ₹1,000 (or equivalent)
• Payments are made via bank transfer to your registered bank account
• You are responsible for providing accurate bank details
• We are not responsible for failed transfers due to incorrect bank information

5.5 Payment Timeline

• Commissions are calculated at the end of each month
• Payments are processed within 30 days after the calculation period
• Additional verification may extend payment processing time
• You will receive notifications about payment status

5.6 Taxes

• You are solely responsible for all taxes related to your earnings
• We may deduct applicable withholding taxes as required by law
• You should consult with a tax professional regarding your tax obligations
• We will provide necessary tax documents as required by law (e.g., Form 26AS in India)

6. Bank Account Information

6.1 Accuracy

• You must provide accurate and complete bank account information
• You must update your bank details promptly if they change
• We are not liable for payment delays or failures due to incorrect information

6.2 Verification

• We may verify your bank account information before processing payments
• You may be required to provide additional documentation
• We reserve the right to request identity verification

6.3 Security

• Your bank details are stored securely and encrypted
• We do not share your banking information with unauthorized third parties

7. Intellectual Property

7.1 MitraVeda Property

• All content, trademarks, logos, and service marks are owned by MitraVeda
• You are granted a limited, non-exclusive license to use marketing materials

7.2 Marketing Materials

• We may provide approved marketing materials for your use
• You must use materials only as provided and authorized
• You may not create derivative works without permission
• All materials must include required disclosures

7.3 Your Content

• You retain ownership of your original promotional content
• By posting, you grant us a license to use, display, and distribute your content
• You represent that you have rights to all content you submit
• You must not infringe on others' intellectual property rights

8. Disclaimers and Limitations

8.1 No Employment Relationship

• You are an independent contractor, not an employee
• You are not entitled to employee benefits
• You are responsible for your own taxes and business expenses
• You may not represent yourself as an employee or agent of MitraVeda

8.2 No Guarantees

• We do not guarantee any specific income or earnings
• Earnings vary based on individual effort and market conditions
• Past performance does not guarantee future results
• Success depends on factors beyond our control

8.3 Service Availability

• We strive for 99% uptime but do not guarantee uninterrupted service
• The App may be temporarily unavailable for maintenance
• We are not liable for damages resulting from service interruptions
• We may modify or discontinue features at any time

8.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID TO YOU IN THE LAST 12 MONTHS
• WE ARE NOT LIABLE FOR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES
• SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR LIABILITY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU

8.5 Warranty Disclaimer

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY

9. Indemnification

You agree to indemnify, defend, and hold harmless MitraVeda, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Your marketing activities
• Your negligence or willful misconduct

10. Compliance with Laws

10.1 Your Obligations

You agree to:

• Comply with all applicable local, state, national, and international laws
• Comply with FTC disclosure requirements (U.S.) or equivalent regulations
• Comply with GDPR (EU), CCPA (California), and other privacy laws
• Obtain necessary licenses or permits for your marketing activities
• Comply with anti-spam laws (CAN-SPAM, GDPR, etc.)

10.2 Disclosure Requirements

You must clearly disclose your affiliate relationship when promoting MitraVeda:

• Use hashtags like #ad, #affiliate, #sponsored
• Include clear written disclosures
• Comply with platform-specific disclosure requirements
• Make disclosures conspicuous and understandable

11. Modifications to Terms

11.1 Right to Modify

We reserve the right to modify these Terms at any time. Changes will be effective upon posting in the App or on our website.

11.2 Notification

We will notify you of material changes via:

• In-app notification
• Email notification
• Dashboard announcement

11.3 Acceptance

Your continued use of the App after changes are posted constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the App and may close your account.

12. Termination

12.1 Termination by You

You may terminate your account at any time by:

• Contacting support
• Following in-app account closure procedures
• Note: Pending commissions will be processed per our payment schedule

12.2 Termination by Us

We may terminate or suspend your account immediately, without notice, for:

• Violation of these Terms
• Fraudulent activity
• Breach of contract
• Legal requirements
• Any reason we deem appropriate

12.3 Effects of Termination

Upon termination:

• Your access to the App will be revoked
• Your voucher code will be deactivated
• Pending commissions may be forfeited if termination is for cause
• Your data will be handled per our Privacy Policy
• Provisions that should survive termination will remain in effect

13. Dispute Resolution

13.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at marketing@mitraveda.com to attempt informal resolution.

13.2 Governing Law

These Terms shall be governed by the laws of India, without regard to conflict of law principles.

13.3 Arbitration (if applicable)

Any disputes arising from these Terms may be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. You waive the right to participate in class actions.

13.4 Jurisdiction

For disputes not subject to arbitration, you agree to the exclusive jurisdiction of courts located in Coimbatore, Tamil Nadu, India.

14. Miscellaneous

14.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and MitraVeda regarding the App.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.4 Assignment

You may not assign or transfer these Terms or your account. We may assign our rights and obligations without restriction.

14.5 Force Majeure

We are not liable for failure to perform obligations due to circumstances beyond our reasonable control (natural disasters, war, strikes, etc.).

14.6 Language

These Terms may be translated into other languages. In case of conflict, the English version shall prevail.

• Disputes shall be subject to the exclusive jurisdiction of courts in Coimbatore, Tamil Nadu, India

BY USING THE MITRAVEDA MARKETING APP, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.
